Wholesale Terms & Conditions
Last Updated: January 2026This Wholesale Agreement (“Agreement”) is made between Wholesale Tallow Soap LLC (“Seller”) and the registered business entity purchasing products (“Buyer”). By placing a wholesale order with Seller, Buyer agrees to be bound by these Terms & Conditions.
1. Qualification & Resale Status
Seller is a B2B (Business-to-Business) manufacturer. By placing an order, Buyer warrants that:
- They are a valid business entity purchasing goods for the purpose of resale or commercial use.
- They possess a valid Resale Certificate or Tax ID number for their state of operation.
- They agree that products purchased are not for personal household use.
2. Minimums & Ordering
- Stock Orders: A Minimum Order Quantity (MOQ) of 50 bars applies to all opening orders. Re-orders must meet case-pack requirements (sold in multiples of 50).
- Custom Orders: A strict MOQ of 1,000 units per SKU applies to all custom formulations.
- Order Acceptance: All orders are subject to acceptance by Seller. Seller reserves the right to refuse service to anyone for any reason at any time.
3. Natural Product Disclaimer (The “Tallow Clause”)
Buyer acknowledges that:
- Color Variation: Tallow ranges from creamy white to pale yellow depending on the season and the cattle’s diet. This is not a defect; it is proof of origin.
- Scent Fade: Natural essential oils are volatile and may mellow over time.
- Texture: Minor surface imperfections (e.g., soda ash) are common in cold-process soap and do not affect performance.
These natural variations are not considered defects and are not grounds for return.
4. Pricing & Payment
Prices are listed in USD and are subject to change without notice. Payment is due in full at the time of order for all “Ready to Ship” stock.
Custom Formulation Terms
- A 50% Non-Refundable Deposit is required to initiate any custom manufacturing run.
- The remaining 50% balance + shipping is due prior to the release of the shipment.
- Failure to pay the balance within 30 days of completion may result in forfeiture of the deposit and stock.
5. Shipping & Risk of Loss
All wholesale orders are shipped FOB Origin (Free on Board Origin). This means:
- Title and Risk of Loss pass to the Buyer the moment the carrier (UPS, FedEx, or Freight) picks up the package from our facility.
- Seller is not responsible for packages lost, stolen, or damaged in transit. Buyer is responsible for filing claims with the carrier.
- Weight Limits: To prevent crushing, we strictly limit individual cartons to 50lbs. Large orders will arrive in multiple boxes.
6. Returns & Cancellations
Stock Orders
Due to the hygienic nature of our products, All Wholesale Sales Are Final.
In the rare event that Seller authorizes a return (at our sole discretion), the following applies:
- A 25% Restocking Fee will be deducted from the refund.
- Buyer is responsible for return shipping costs.
- Goods must be received in original, unopened, sellable condition.
Custom Orders
Custom formulations and private label orders are 100% Non-Refundable once production has begun. No exceptions.
7. Damages & Shortages
Buyer must inspect all shipments immediately upon arrival. Any claims for damaged or missing items must be made in writing to
